SECURE EMAIL ELECTRONIC RECORD AND SIGNATURE DISCLOSURE

1.  Electronic Signature

1.1  By clicking “I Agree” to this Electronic Record and Signature Disclosure (this “Notice”), you hereby agree that you are adopting the statements herein as your own statements, and that you agree to be legally bound by all such statements.

1.2  By clicking “I Agree”, you agree that you will be applying your electronic signature (the “E-Signature”) to all associated documents or agreements (the “Documents”), and that you are signing the Documents electronically.  You agree that your electronic signature legally equivalent to your manual signature on the Documents, and that you consent to be legally bound by the terms of the Documents, including all terms and conditions therein.  You further agree that your E-Signature includes any indication made by key pad, mouse or other input device used in order to select items, buttons, icons or to undertake similar actions or otherwise provide instructions or consent with respect to the Documents.  No certification authority or other third party  will be required to verify or validate in any way your E-Signature, and the lack of any such verification or validation will in no way affect the enforceability of your E-Signature, or any contract which results from the application of your E-Signature to the Documents.

1.3  You hereby represent that you are authorized to enter accept and enter into this Notice as well as the Documents, and have the right and ability to bind yourself and/or any party for which you are signing.

2.   Electronic Delivery

2.1  You hereby agree to receive any and all communications regarding this Notice and the Application of your E-Signature to the Documents electronically, including any future notices or disclosures which may be required for any reason.

3.  General legal terms

3.1  Where provided with a translation of the English language version of this Notice, you agree that the translation is provided for your convenience only and that only the English language versions of this Notice will govern your consent with respect to your E-Signature.  If there is any contradiction between the English language version of this Notice and a translation, then the English language version will take precedence.

3.2  If any court of law, having the jurisdiction to decide on this matter, rules that any provision of this Notice is invalid, then that provision will be removed from this Notice without affecting the rest of this Notice. The remaining provisions of this Notice will continue to be valid and enforceable.
